Terms of Service
1. The agreement
1.1 These Terms of Service ("Terms") are a contract between Cloudlift GmbH, Bächaustrasse 61, 8806 Bäch, Switzerland (CHE-309.805.112) ("Cloudlift", "we") and the business that installs one of our apps for Shopify ("you").
1.2 You accept these Terms when you install an app or continue to use it after they were published. If you accept them for a company, you confirm that you may bind it.
1.3 These documents form part of the Terms: the Data Processing Agreement ("DPA"), the subprocessor list, and the plan and price shown in the app when you subscribe. Our Privacy Policy explains how we handle your own personal data. If documents conflict, the DPA prevails on personal data, then these Terms, then the plan description.
1.4 The apps are for businesses. They are not offered to consumers, and consumer protection rules for distance contracts do not apply.
1.5 Your use of Shopify is governed by your agreement with Shopify. Shopify is not a party to these Terms.
2. The services
2.1 We give you a non-exclusive, non-transferable right to use the apps you install, and their admin, storefront features and APIs (the "Services"), for your own Shopify stores while your subscription is active.
2.2 The Services depend on Shopify and on other third parties. Changes, outages or restrictions on their side may change or interrupt features, and are outside our control.
2.3 We develop the Services continuously. We may change, add or remove features. If we remove a feature that is a core part of your paid plan, we tell you at least 30 days before, and you may end your subscription.
2.4 Features marked as beta, preview or test are provided as they are, may change or end without notice, and are excluded from any commitment in these Terms.
2.5 We aim for high availability but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, where possible outside peak hours.
3. Your account and responsibilities
3.1 You keep the information in your Shopify account and in the app accurate, including a contact email that reaches you.
3.2 You keep your Shopify and app admin access secure and are responsible for what your staff and anyone using your access do in the Services. Tell us without delay at privacy@cloudlift.app if you suspect misuse.
3.3 You check the results of the Services before you rely on them, in particular print files, exports, prices shown to shoppers and AI output. We do not scan uploaded files for malware, so treat files from shoppers with the same care as any file from outside your business.
3.4 You keep your own copies of files you need. The Services store files as described in the DPA and are not a backup service.
3.5 You comply with the law that applies to your store, including consumer, data protection and marketing law towards your shoppers.
4. Acceptable use and content
4.1 Your content. "Content" means everything that you, your staff or your shoppers put into the Services: uploaded files, text, designs, configurations, prompts and product data. You are responsible for Content, including what your shoppers upload through your store, and for having the rights to use it.
4.2 Not allowed. You may not use the Services, or let your shoppers use them, to store or distribute Content that:
- is illegal, infringes intellectual property or privacy rights, or depicts the sexual abuse of children;
- incites violence or hatred, or harasses people;
- contains malware, or is used to attack, overload or probe our systems or anyone else's;
- turns the Services into general file hosting, unrelated to products in your store.
You may also not copy, resell or reverse engineer the Services, scrape them, or use them or their output to build a competing product.
4.3 Your shoppers. You tell your shoppers what they may upload and remove Content that breaks these rules once you know of it. You can delete files yourself in the app.
4.4 Our action. If Content is illegal or breaks these Terms, we may remove it or block access to it, and in serious or repeated cases suspend the Services (section 13).
4.5 We do not monitor Content in general and are not responsible for it. Report Content you believe is illegal to privacy@cloudlift.app.
5. AI features
5.1 Some features use AI models of third-party providers listed on the subprocessor list. AI features run only when you enable them for your store or use them in the app admin.
5.2 AI output can be wrong, incomplete, or similar to existing works. You review output before you publish or sell it, and you decide whether to use it. You are responsible for output you use and for telling your shoppers where your store uses AI, if the law requires it.
5.3 Do not put special categories of personal data, or other people's confidential information, into AI features.
5.4 As between you and us, you own the output you create with AI features, to the extent the law allows ownership of AI output and subject to the terms of the model provider. We give no warranty that output is free of third-party rights.
6. Fees and billing
6.1 Plans, prices and included usage are shown in the app. Shopify bills our fees with your Shopify invoice, in the currency Shopify uses, and your agreement with Shopify governs payment.
6.2 Subscriptions renew each billing period until you cancel them or uninstall the app. Usage-based charges, such as AI credits beyond your plan, are billed as they occur up to the cap you approved in Shopify.
6.3 Free trials end on the date shown. If you keep the app after the trial, the paid plan starts.
6.4 Plans are billed monthly. Fees are not refundable, including when you downgrade, cancel or uninstall during a billing period. One exception: if you did not actively use the app during a billing period, as our records show, we refund the last monthly fee you paid on request.
6.5 We tell you of price increases at least 30 days before they apply to you, in the app or by email. You may cancel before the new price applies.
6.6 Raise billing questions within 30 days of the charge at support@cloudlift.app.
7. Intellectual property
7.1 We own the Services, including the software, designs, templates, documentation and everything we develop from them. These Terms give you only the right of use in section 2.
7.2 You own your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, convert, process and display Content as needed to provide the Services to you and your shoppers. The licence ends when the Content is deleted under the DPA.
7.3 If you send us feedback or ideas, we may use them without obligation to you.
7.4 We may name you as a customer only with your consent.
8. Data protection and your data
8.1 When we process personal data of your shoppers or staff for you, we do so as your processor under the DPA. For the data of you and your staff that we need to run your account, the Privacy Policy applies.
8.2 Files and records are kept and deleted as section 11 of the DPA describes.
8.3 Download before you uninstall. After you uninstall an app, Shopify tells us to erase your shop's data and we delete your files as section 11 of the DPA describes. Deleted files cannot be restored, and there is no export window after uninstall. Download the archived files you need, one by one or as a ZIP, before you uninstall.
9. Confidentiality
9.1 Each party keeps the other's non-public business information confidential and uses it only to perform these Terms. This covers your Content, our non-public product information, and the terms of any individual agreement.
9.2 This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law or an authority (with notice where allowed).
9.3 These duties last while you use the Services and for three years after.
10. Warranties
10.1 We provide the Services with reasonable skill and care and in line with the description in the app.
10.2 Beyond that, the Services are provided as they are and as available. To the extent the law allows, we exclude all other warranties, in particular fitness for a particular purpose, uninterrupted availability, and that results (print files, conversions, AI output) meet your requirements.
10.3 If the Services do not work as described, tell us and we will fix the defect within a reasonable time. If we cannot, you may end your subscription. These are your remedies for defects.
11. Limitation of liability
11.1 The limits in 11.2 and 11.3 do not apply to damage caused intentionally or through gross negligence.
11.2 Otherwise, our total liability for all claims under these Terms and the DPA together is limited to the last monthly fee you paid for the Services before the event that caused the claim.
11.3 We are not liable for indirect or consequential damage, lost profit, lost revenue, lost orders, or loss of data you could have prevented by keeping copies (section 3.4), except under 11.1.
11.4 We are not liable for failures caused by Shopify, by third-party services you connect, or by events outside our reasonable control (force majeure). Our responsibility for our subprocessors under the DPA is unaffected; the limits in 11.2 and 11.3 still apply.
11.5 These limits also protect our staff and subcontractors. They do not apply where Swiss law forbids a limitation (Art. 100 Swiss Code of Obligations).
12. Indemnity
12.1 You indemnify us against third-party claims, fines and reasonable legal costs arising from your Content (including what your shoppers upload), your breach of these Terms, or your breach of the law towards your shoppers.
12.2 We tell you of such a claim without delay, let you lead the defence where the law allows, and do not settle it without your consent, which you may not unreasonably refuse.
13. Term, suspension and termination
13.1 These Terms apply from installation until you uninstall the last of our apps and the deletions under the DPA are complete.
13.2 You may end a subscription at any time by cancelling it in the app or uninstalling the app. Section 6.4 applies to fees.
13.3 We may end the Services for you with 30 days' notice by email.
13.4 We may suspend the Services, in whole or for a feature, if you breach section 4, if your use endangers the Services or other customers, if Shopify blocks the app for your store, or if fees are unpaid. We tell you beforehand where reasonably possible, keep the suspension proportionate, and lift it once the cause is fixed.
13.5 Either party may end these Terms at once for a material breach the other party does not fix within 14 days of notice. We may also end them at once, by email, if you or your staff abuse, threaten or harass our staff.
13.6 When the Terms end, your right of use ends and data is deleted as section 8.3 and the DPA describe. Sections 7, 9, 11, 12 and 15 survive.
14. Changes to these Terms
14.1 We may update these Terms. We publish the new version with its effective date. For changes that reduce your rights, we tell you in the app or by email at least 30 days before they apply.
14.2 Changes required by law or for security may apply sooner.
14.3 If you do not agree with a change, you may uninstall the app before it applies. If you keep using the Services after that date, the new Terms apply.
15. Governing law and courts
15.1 These Terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
15.2 The courts of the Canton of Schwyz, Switzerland, have exclusive jurisdiction. We may also bring a claim for unpaid fees or for the protection of our intellectual property at your seat.
16. General
16.1 Notices. We send notices to the contact email of your shop or show them in the app. You send notices to support@cloudlift.app, and privacy matters to privacy@cloudlift.app.
16.2 Assignment. You may not transfer these Terms without our consent. We may transfer them to a company that takes over the Services, and tell you.
16.3 Severability. If a provision is invalid, the rest stays in force, and the invalid provision is replaced by a valid one that comes closest to its purpose.
16.4 Entire agreement. These Terms and the documents in 1.3 are the whole agreement on the Services. Your own terms do not apply.
16.5 Language. If these Terms are translated, the English version prevails.
Effective date: 2026-11-01. Version 1.0.
